Marketing Partner (Assembly Wise)
Franchise Agreement
This Agreement is entered into between RBUY Marketing Private Limited (hereinafter "the Company") and the individual or entity named as the Marketing Partner (Assembly Wise) (hereinafter "the Partner"), effective from the date of activation on the ROOPAY SHOPPE™ platform.

1. Appointment & Territory
1.1The Company hereby appoints the Partner as the exclusive Marketing Partner (Assembly Wise) for a single, specified assembly constituency in India (the "Territory"), as recorded in the ROOPAY SHOPPE™ admin system at the time of onboarding.
1.2The Partner shall not operate, solicit, or recruit within any other assembly constituency without a separate written agreement from the Company.
1.3The appointment is personal and non-transferable. The Partner may not sub-franchise, assign, or delegate this appointment to any third party.
1.4The Company reserves the right to appoint additional Partners in adjoining constituencies and is under no obligation to grant exclusivity beyond the assigned constituency.
2. Annual ME Training Fee
2.1The Partner shall pay an annual ME Training Fee of ₹1,00,000 (Rupees One Lakh) + 18% GST = ₹1,18,000 (Rupees One Lakh Eighteen Thousand) to the Company before activation and on every renewal thereafter.
2.2This fee covers the cost of ME training programmes, training materials, platform onboarding support, and operational resources provided by the Company to the Partner's 2 MEs throughout the year.
2.3This fee is strictly non-refundable under any circumstances, including early termination by the Partner, failure to appoint MEs, or voluntary exit. No partial refund will be issued for unused months.
2.4Payment must be made via NEFT / RTGS / DD / Cheque / Cash with a valid UTR or reference number, confirmed by the Company admin on the platform before activation.
2.5A GST invoice will be issued by RBUY Marketing Private Limited (GST: 33AAJCR0650F1ZP) for the full amount paid, including the 18% GST component of ₹18,000.
2.6The Partner acknowledges that this is a service fee — not a deposit or investment — and does not entitle the Partner to any guaranteed income or return.

3. Annual Renewal
3.1This Agreement is valid for a period of one (1) year from the date of activation and must be renewed annually by paying the ME Training Fee (₹1,00,000 + 18% GST = ₹1,18,000).
3.2The Company will notify the Partner at least 30 days before the renewal due date. Non-renewal within the due date will result in suspension of the Partner account and removal of ME assignments.
3.3Renewal payment must be made via NEFT / RTGS / DD / Cheque / Cash and confirmed by the Company admin on the platform. A fresh GST invoice will be issued on each renewal.
3.4Commissions earned in the wallet prior to suspension remain accessible and withdrawable after KYC clearance, even if the account is not renewed.
4. Partner Obligations
4.1 MEsThe Partner shall appoint exactly two (2) Marketing Executives (MEs) within their constituency. The Partner is responsible for their conduct, training, and performance.
4.2 TargetThe Partner shall ensure each ME achieves a minimum of 100 Akshaya code activations per month. Consistent underperformance may result in suspension or termination.
4.3 PromotionThe Partner shall actively promote the ROOPAY SHOPPE™ brand in their constituency through local events, word-of-mouth, and other lawful means.
4.4 ReportingThe Partner shall submit monthly performance reports to the Company's assigned admin, including code counts, earnings summary, and any issues in the territory.
4.5 ComplianceThe Partner and their MEs shall comply with all applicable Indian laws, including the Consumer Protection (Direct Selling) Rules 2021, BUDS Act, and all ROOPAY SHOPPE™ platform policies.
4.6 No Misrep.The Partner shall not make false promises regarding income, returns, or business outcomes to any member or prospective ME. Misrepresentation is grounds for immediate termination without refund.
4.7 RecordsThe Partner shall maintain records of ME appointments and code activations and make them available to the Company on request.
5. Commission Structure
5.1The Company credits ₹100 (Rupees One Hundred) to the Partner's wallet for every role activated within the Partner's constituency — and again for every annual renewal of that role. Commission is earned per event (activation or renewal), not as a monthly recurring payment.
5.2If a user does not renew their role, the Partner earns ₹0 for that user in that year. Commission is only triggered by a confirmed activation or renewal event on the platform. Partial, failed, or cancelled activations do not qualify.
5.3The commission rate may be revised by the Company with 30 days' prior written notice to the Partner.
5.4The Partner's wallet earnings are subject to withdrawal only after the admin approves the withdrawal request and all KYC requirements are met.

Note: Based on ONE ME activating 100 codes/month. With 2 MEs: 2 × ₹1,20,000 = ₹2,40,000/year. Actual earnings depend entirely on ME performance. This is an illustration, not a guaranteed income.
6. Tax & Deductions
6.1All payments to the Partner are subject to applicable Indian tax laws. TDS may be deducted as per the Income Tax Act, 1961, on commission payments exceeding prescribed thresholds.
6.2The Partner is responsible for their own income tax filings and compliance. The Company will issue Form 16A / TDS certificates as required by law.
6.3The Company's CIN, PAN, GST, and TAN details shall appear on all official communications and payment receipts.
7. Company Obligations
7.1The Company shall provide the Partner with access to the ROOPAY SHOPPE™ Partner Portal for tracking wallet balance, ME performance, and commission history.
7.2The Company shall process approved withdrawal requests within 3–7 working days.
7.3The Company shall provide reasonable training materials and support to the Partner and their MEs.
7.4The Company shall protect the Partner's exclusive territory from duplicate appointments for the duration of this Agreement.
8. Non-Compete & Confidentiality
8.1During the term of this Agreement, the Partner shall not directly or indirectly operate, promote, or represent any competing direct-selling, MLM, or franchise platform in the same constituency.
8.2The Partner shall keep confidential all proprietary business information, commission structures, and platform data shared by the Company.
8.3These obligations survive the termination of this Agreement for a period of one (1) year.
9. Termination
9.1 By PartnerThe Partner may terminate this Agreement by providing 30 days' written notice to the Company. The annual ME Training Fee (₹1,18,000) is non-refundable regardless of the termination date. Earned wallet commissions will be settled within 30 working days of termination.
9.2 By CompanyThe Company may terminate this Agreement immediately in cases of: fraud, misrepresentation, breach of compliance, non-payment of renewal fee, or consistent failure to meet minimum targets after two written warnings. No refund of training fee will be made in such cases.
9.3 EffectUpon termination, the Partner's portal access will be suspended. All ME assignments will be removed. Pending commissions for completed activations will be settled within 30 working days.
10. Dispute Resolution & Governing Law
10.1Any dispute arising from this Agreement shall first be resolved through mutual discussion between the parties within 30 days of the dispute arising.
10.2If unresolved, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed by the Company.
10.3This Agreement shall be governed by the laws of India. The courts of Virudhunagar, Tamil Nadu shall have exclusive jurisdiction.
11. General
11.1This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings.
11.2Any modification to this Agreement must be in writing and signed by both parties.
11.3If any provision is found to be invalid or unenforceable, the remaining provisions shall continue in full force.
11.4The Partner confirms they have read, understood, and agreed to these terms by completing the eSign process on the ROOPAY SHOPPE™ platform, which constitutes a valid electronic signature under the Information Technology Act, 2000 (Section 5).
