1. Who These Terms Apply To

These Seller Terms & Conditions apply to all participants on the ROOPAY SHOPPE™ platform who hold the role of Seller (RSCxxxxxx), Street Vendor (SVCxxxxxx), Farmer (FARxxxxxx), Loan Provider (LPxxxxxx), Biller (BLRxxxxxx), or Delivery Partner (DVLxxxxxx) — collectively referred to as “Seller” in this document. By activating any of these roles, you agree to be bound by these Terms in addition to the general User Terms & Conditions.

2. KYC Requirements

All seller roles require verified KYC documents before listing products or accepting payments. Requirements vary by role:

Seller / Biller / Loan Provider: Full KYC — GST certificate, PAN card, bank account details with IFSC, and business registration documents.
Street Vendor / Farmer / Delivery Partner: Minimum KYC — Aadhaar card and bank account details with IFSC.
Manufacturer: Full KYC — factory registration, GST, PAN, and bank details.

All submitted documents are encrypted using AES-256 and stored on secure private cloud storage. Falsification of KYC documents is a criminal offence and will result in immediate account termination and reporting to law enforcement.

3. Product Listing Rules

You may only list products or services that you own, have the right to sell, and that comply with all applicable Indian laws.
Listing counterfeit, stolen, illegal, controlled, or prohibited goods is strictly forbidden and will result in immediate account termination.
Product descriptions, prices, HSN codes, and photographs must be accurate and not misleading.
Stock availability must be kept up to date. Sellers who repeatedly fail to fulfil orders due to inaccurate stock will have their listing privileges suspended.
All product pricing is in Indian Rupees (INR) for domestic listings.

4. Platform Charges — 5% on Both Sides

The Platform levies a 5% service charge on both the buyer and the seller for every completed order. As a seller, you are charged 5% of the order value upon successful delivery confirmation (after the 24-hour cancellation window closes). This charge is deducted from your Seller Wallet before the balance is made available for withdrawal. The charge is split identically to the user transaction split: 1% to your own BW, 1% to your ME, and 3% to the Admin Share Wallet.

5. Order Fulfilment Obligations

24 HRS

You must confirm or reject an order within 24 hours of placement. If you do not confirm within this window, the order is automatically cancelled and a full refund (including the buyer's 5% charge) is issued to the buyer.

48 HRS

After confirming an order, you must pack and hand over the product to the delivery partner within 48 hours.

DELIVERY

Delivery is expected within the timeline displayed to the buyer at checkout. Delays must be communicated promptly via the platform's messaging system.

PAYMENT

Seller payment is released automatically 25 hours after the buyer receives the order, provided no cancellation request has been raised by the buyer.

6. Shipping & Returns — Seller Responsibility

SHIPPING

Shipping cost is borne entirely by the seller. Roopay Shoppe does not pay any shipping/courier charge. The shipping cost for each order is deducted from your settlement. You are responsible for handing the parcel to the assigned courier/delivery partner.

7 DAYS

A buyer may request a return within 7 days of delivery. You (the seller) review and approve or reject each return request. Roopay admin may intervene only to resolve a dispute.

REFUND

On an approved return, the buyer receives a full refund to their Roopay wallet. The order amount and the return-shipping cost are debited from the seller. Roopay Shoppe remains financially neutral — the platform bears no shipping or return cost at any stage.

QUALITY

Sellers are responsible for product quality, correct and safe packaging, and accurate listings. Repeated returns caused by damaged, wrong, or misrepresented products may lead to penalties, security-deposit deduction, or suspension.

7. Seller Wallet & Withdrawals

Your Seller Wallet holds your available earnings after deduction of the 5% platform charge and any applicable TDS.

One-withdrawal rule: You may only have one active withdrawal request at a time. A new withdrawal cannot be initiated until the previous one has been credited to your bank account.

Withdrawals require completed KYC verification. Sellers without verified KYC cannot initiate withdrawals.

A security deposit (if applicable at activation) is held in a separate security wallet and is not available for withdrawal during the first contract period.

8. Tax Obligations

TDS — Section 194O

The Company deducts TDS at 0.1% of gross sales value (above Rs. 5,00,000 annual threshold) under Section 194O of the Income Tax Act, 1961, using TAN MRIR02476F. Sellers without a valid PAN card are subject to TDS at 5% instead. Form 16A is issued quarterly.

TCS — GST

The Company collects Tax Collected at Source (TCS) at 1% (0.5% CGST + 0.5% SGST, or 1% IGST for interstate) on your net sales value, as required under Section 52 of the CGST Act. This is filed in GSTR-8 by the 10th of the following month.

Seller GST Compliance

Sellers with GST registration are required to reflect platform sales accurately in their own GST returns. The Company issues a monthly tax invoice to all GST-registered sellers.

9. Governing Law

These Seller Terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of courts in Tamil Nadu, India. By activating a seller role on the Platform, you agree to these Terms in full.
